Associate Attorney-Transactional

The ideal candidate will manage non-litigation cases and resolve legal issues on behalf of clients by developing agreements, negotiating contacts, conducting legal research and drafting legal opinion letters. This individual will build client relationships and provide an excellent customer experience for clients.


  • Review, negotiate, and draft a wide variety of contracts including asset sale agreement, purchase agreement, equity subscription agreement, bylaws, operating agreement, licensing agreement, etc.
  • Research and prepare legal opinion letters or memorandum on a variety of legal issues as needed.
  • Provide support relating to any and all legal matters and questions presented to the legal team.
  • Conduct due diligence research, evaluate and advise on M&A and investment transactions.
  • Assist with researching and preparing documents related to tax planning and estate planning issues.
  • Maintain client relationships.
  • Manage cases and assignments from multiple attorneys and ensure that deadlines are met.
  • Communicate effectively with team members and clients.


  • Licensed to practice law in California; having a second license in another jurisdiction is a plus
  • Minimum one year of transactional experience
  • Strong communication and interpersonal skills
  • Strong legal knowledge
  • Some interest in wealth planning/financial products/strategies, taxes, and estate planning preferred but not required.

Salary is DOE. We provide 401(k) and employer match; discretionary bonus; and health insurance.

Bilingual Legal Assistant (Mandarin Chinese)

We are a U.S. News and Best Lawyers rated boutique law firm focused on trusts/estate planning and tax practices. At this time, we have an additional position available for a bilingual (Mandarin Chinese) paralegal/legal assistant. This is a full time, in-office position and we offer full medical insurance, paid-time off, 401(K) match and a place for you to grow your career.

We are a small but rapidly growing practice providing legal services to mid to higher net worth clients. These legal services mostly involve advanced estate planning techniques, tax planning, tax controversy, and business practices. Training will be provided. We will consider a fast learner with good attitude without any relevant experience. This position requires you to be fluent in Mandarin Chinese in both speaking and writing. Additionally, you must have excellent client communication skills.

Our pay is competitive with like-sized firms and discretionary bonuses are paid out annually. Your primary responsibility will be client relationship management. However, you’ll also be learning to do some document drafting as well as some legal and public records research and filings. After the initial training (first 90 days) is completed, you’ll be expected to perform independently with minimum supervision. Attention to details is a must for the position. Communication skill is highly regarded.
