Whether a client is starting a new business or looking for changes to an existing one, it is our experience that clients either do not keep up to date with their required corporate formalities, or the corporate formalities are non-existent. As such, we will help our clients draft and maintain the corporate formalities in order to limit personal liability. Formalities include, but are not limited to:
- Operating Agreements, which are the governing documents of a limited liability company.
- Bylaws, a C corporation or S corporation’s equivalent to an operating agreement.
- Organizational and Annual Minutes and Resolutions, which are the formal recorded minutes of the meeting of the board of directors, shareholders, managers, or members.
